These Terms & Conditions ("Terms") govern your access to and use of the InventiPro desktop application, web application, installable Progressive Web App, and any related services (collectively, the "Service"), provided by InventiPro Pvt. Ltd. ("InventiPro", "we", "us", or "our"), a company registered in India under GSTIN [GSTIN NUMBER], with its registered office at 141, Laxmi Nagar, Niwaru Road, Jhotwara, Jaipur - 302012, Rajasthan. By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility and Accounts
You must be at least 18 years old and capable of entering into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@inventipro.com if you suspect unauthorized access.
2. The Service and Its Modes
The Service is offered in multiple modes, each with different characteristics you should understand before relying on them:
- Desktop Application: runs locally against a local database and does not require an internet connection to operate its core billing and inventory functions.
- Web Application: requires an active internet connection and is accessible from a supported web browser on any device.
- Installable PWA: the Web Application installed to a device's home screen or desktop for app-like access; it does not add offline functionality beyond what the Web Application otherwise provides.
- Cloud Sync (paid add-on): an optional, separately priced feature that selectively synchronizes data you choose from the Desktop Application to the cloud, making it accessible via the Web Application.
3. Subscription Plans, Billing, and Trials
Certain features require a paid subscription plan. A free trial period, where offered, converts to a read-only state if not upgraded to a paid plan before it ends; no data is deleted solely due to trial expiry. Fees are billed in advance on a monthly or annual basis as selected at checkout, exclusive of applicable taxes (including GST), which are added separately. 4. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any other tenant's data or to the Service's underlying infrastructure; (c) reverse-engineer, decompile, or attempt to extract the source code of the Service except as permitted by law; or (d) resell or white-label the Service without a separate written agreement covering that use.
5. Your Data
You retain ownership of all data you enter into the Service. Our collection, use, and handling of that data is described in our Privacy Policy and Data Usage Policy. Data stored locally by the Desktop Application remains on your own device unless you enable the Cloud Sync add-on for specific tables you select.
6. Availability and Support
We aim to keep the Web Application available and performant, but do not guarantee uninterrupted access, and are not responsible for outages caused by your own internet connectivity, hardware, or third-party infrastructure. The Desktop Application's core functionality is unaffected by Web Application availability.
7. Limitation of Liability
To the maximum extent permitted by applicable law, InventiPro Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including loss of profits, data, or business opportunity.
8. Termination
You may stop using the Service and cancel your subscription at any time from within the application. We may suspend or terminate access for any account that violates these Terms, with notice where reasonably practicable.
9. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the Service or by email to your registered address. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
10. Governing Law
These Terms are governed by the laws of India, and any disputes arising under them shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan.
